http://www.honma.capital (the “Website”) is operated by Honma Capital for and on behalf of Honma Katana (these entities together, “Honma”) and contains certain information about Honma Katana. You are advised to read the information set out within this notice carefully before accessing the Website: it sets out the legal provisions applicable to the content and use of the Website.

Honma Katana is an exempted company incorporated under the laws of the Cayman Islands and has its registered office is at Willow House, Cricket Square, P.O. Box 10008, KY1-1001, Grand Cayman, Cayman Islands. Honma Katana falls within the definition of a “private fund” under the Private Funds Act (as revised) of the Cayman Islands and, accordingly, has been or will be registered with the Cayman Islands Monetary Authority. References to Honma Capital should be interpreted as being a reference to six individuals (Justin Tedaldi, Franz Klainsek, Simon Allen, Neil Quilliam, Nassar Alnassar, and Veronika Koles), the team behind Honma Katana (and references to members of Honma Capital or the Honma Capital team should be construed accordingly). 

By accessing the Website, you are deemed to have agreed to accept and be bound by these terms and conditions (the “Website T&Cs”). You are responsible for ensuring that each person who accesses the Website through your internet connection or otherwise on your behalf are aware of these Website T&Cs and they comply with them. If you (or any other aforementioned person(s)) do not agree to the Website T&Cs, including as these may be amended from time to time, please refrain from accessing the Website.

Within these Website T&Cs reference to “we”, “us” or “our” are references to Honma and references to “you” or “your” are references to you, the person accessing the Website.

 Honma reserves the right, in its sole discretion, to amend these Website T&Cs from time to time. Any such changes, which shall be highlighted on the Website upon being implemented, shall be effective immediately upon being updated on the Website. Your continued use of the Website following any such changes shall be deemed to constitute your acceptance of, and agreement to be bound by, such amended Website T&Cs.

Miscellaneous

No failure on the part of Honma to exercise, and no delay on its part in exercising, any right or remedy under these Website T&Cs will operate as a waiver thereof nor will any single or partial exercise of any right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy.

The rights and remedies provided in these Website T&Cs are cumulative and not exclusive of any rights or remedies provided by law.

The illegality, invalidity or unenforceability of any provision of these Website T&Cs under the law of any relevant jurisdiction shall not affect the legality, validity or enforceability of any other provision hereunder or its legality, validity or enforceability under the law of any other relevant jurisdiction.

These Website T&Cs and any matter, claim or dispute arising out of, or in connection with, its subject-matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Cayman Islands, to the jurisdiction of whose courts in connection therewith each of Honma and you irrevocably, and exclusively, submit.
